Servsys: Terms and Conditions

Introduction
- These Terms and Conditions govern the relationship between Servsys (referred to as "Servsys," "we," "us," or "our") and our clients (referred to as "you" or "your").
- By engaging our services, you agree to be bound by these Terms and Conditions in their entirety.

Services
- Servsys provides IT staffing and managed services, including but not limited to, recruitment, placement, temporary staffing, project staffing, and managed IT services.
- Specific details of services, including scope, duration, and pricing, will be outlined in the Service Agreement between Servsys and the client.

Service Agreement
- The Service Agreement will detail the specific terms, conditions, scope of work, service level agreements (SLAs), and pricing for the services provided by Servsys.
- Any modifications or amendments to the Service Agreement must be agreed upon in writing by both parties.

Payment Terms
- Payment terms and conditions will be outlined in the Service Agreement.
- Invoices for services rendered by Servsys are payable within the agreed-upon timeframe specified in the Service Agreement.
- Late payments may be subject to interest charges and suspension of services until payment is received in full.

Confidentiality
- Servsys and the client agree to maintain the confidentiality of all proprietary and sensitive information disclosed during the engagement.
- Both parties agree not to disclose confidential information to any third party without prior written consent, except as required by law.

Intellectual Property
- All intellectual property developed or provided by Servsys as part of the services, including but not limited to software, code, designs, and documentation, remains the property of Servsys.
- The client may use intellectual property provided by Servsys solely for the purposes outlined in the Service Agreement and may not reproduce, distribute, or modify it without prior written consent.

Termination
- Either party may terminate the Service Agreement upon written notice if the other party breaches any material term or condition and fails to remedy such breach within a reasonable timeframe.
- In the event of termination, the client remains liable for payment of all fees and expenses incurred up to the date of termination.

Limitation of Liability
- Servsys shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the provision of services, including but not limited to loss of profits, data, or business opportunities.
- Servsys's total liability under any circumstances shall not exceed the total fees paid by the client to Servsys for the services rendered during the preceding six (6) months.

Governing Law
- These Terms and Conditions and the Service Agreement shall be governed by and construed per the laws of Texas, without regard to its conflict of law provisions.
- Any dispute arising under these Terms and Conditions or the Service Agreement shall be subject to the exclusive jurisdiction of the courts of Texas.

Miscellaneous
- These Terms and Conditions constitute the entire agreement between Servsys and the client and supersede all prior agreements and understandings, whether oral or written.
- No waiver of any provision of these Terms and Conditions shall be effective unless in writing and signed by both parties.
- If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
By engaging Servsys for services, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
